Hello! These Terms of Service (“Terms”) describe your rights and responsibilities when using BirthdayBot for Slack and our services located at birthdaybot.io, (collectively, the “Services”). Please read them carefully to understand your rights and restrictions, as well as our responsibilities.

These Terms of Service work as a binding contract

Unless the parties have mutually executed a separate agreement covering the use of the Services, these Terms of Service form a binding contract between Customer and BirthdayBot. In this document, “we,” “our,” and “us” refers to BirthdayBot and Raw.Bot Inc. as the company owning the product, while “Customer” or “you” refers to you (or, when applicable, the company or legal entity that you represent). The “Effective Date” of these Terms is the date of your first use of our website or BirthdayBot Slack App. By using the Services, you agree that you have the authority to represent and bind the company or entity using BirthdayBot to these Terms.

Ordering Subscriptions

Free plan and purchasing decision

A subscription allows you (and your authorized users) to access the Services. We have several types of subscriptions available, including a free plan. One person or legal entity is allowed to sign up for only one free plan. When you decide to buy a subscription to our Services, that decision should be based on the functionality or features available for paid plans at the moment of the payment.

Paid plans

BirthdayBot has Standard, Pro, and Custom paid subscription plans along with monthly or annual payment schedules. The fees can be found on our website and must be paid in advance to get access to the functionality of the paid account.

By providing us with your credit card information you agree to the following terms and conditions:

(a) you have the right to provide this information to us;
(b) that you agree that we charge that card for the monthly or yearly fees, as selected by you, without any additional notice or consent;
(c) that the Service subscription is billed based on the number of active BirthdayBot users, so we are authorized to charge your credit card for those amounts;
(d) that you agree to keep your credit card information updated and valid.

Payment obligations are non-cancelable, and the fees paid are non-refundable. For clarity, we do not make any refunds for the period of time the Services were abandoned and not used by you and/or your entity. If you do not fulfill your payment obligations, we downgrade you to a free plan, so only the free plan functionality becomes available to you. The fees are stated exclusive of any taxes, duties, or other governmental deductions, for example, VAT, sales, or other taxes.

Auto-renewal and suspension

Unless specified otherwise by the service order form, all subscriptions automatically renew for further subscription terms of equivalent length, unless one party gives written notice to the other via email or customer support form at least 1 (one) day before the end of that subscription term that it does not want the term to renew. RawBot Inc. reserves the right to suspend your ability to use the Services, without any liability, in case of the following circumstances:

(a) for scheduled or emergency Services maintenance;
(b) if we believe you are using the Services in violation of these Terms or applicable law or we believe that your use implies a security risk to us;
(c) if required by governmental agencies or law enforcement bodies.

Customer feedback

We improve our Service based on market research and customer suggestions. Shall you share with us any feedback or suggestions regarding the Services, you agree to grant us an unlimited, irrevocable, perpetual, sublicensable, transferable, royalty-free license to use any ideas or suggestions without any obligation or compensation.

Our responsibilities

We make our best efforts to keep your data protected via administrative, physical, and technical safeguards. More on that you can find in our Privacy Policy .

We reserve the right to modify these Terms of Service

We can change or modify these Terms, as well as any other policies, anytime upon written notice to you. The notice may be provided via email, in bot messages, or by posting the updated text on our website and providing the revision date.

We reserve the right to modify the Services

We also can modify the Services, fully or partially, temporarily or permanently, without notice or liability to you. It can happen due to many reasons: expanding the Services, adding new functionality, maintaining the technical compatibility with the industry standards, or in order to meet updated regulatory requirements. Additionally, please be aware that we may adjust pricing for new users with our without informing our existing users about these changes, as part of these modifications, ensuring our ability to enhance and sustain the quality of our services.

Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED FOR HEREIN, THE SERVICES AND ALL RELATED COMPONENTS AND INFORMATION ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, AND WE EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE CUSTOMER ACKNOWLEDGES THAT WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

Force Majeure

Except for payments due under these Terms, neither party will be responsible for any delay or failure to perform that is attributable in whole or in part to any cause beyond its reasonable control, including, without limitation, acts of God (fire, storm, floods, earthquakes, etc.); civil disturbances; pandemic; disruption of telecommunications, power or other essential services; interruption or termination of service by any service providers used by BirthdayBot to host the Services or to link its servers to the Internet; labor disturbances; vandalism; cable cut; computer viruses or other similar occurrences; or any malicious or unlawful acts of any third party.

Compliance with laws

You acknowledge that you are responsible for complying with all applicable laws and regulations associated with your access and use of the Services.
